This Video Creator Marketing Agreement includes the following:

MARKETING PLANS

  • FREE PLAN - One video can be posted (a placement) as a link or embedded video to a single PlanetOttawa.ca page only. THE VIDEO and POST WILL BE LICENSED AS A NON-EXCLUSIVE IRREVOCABLE WORLDWIDE PERPETUAL AGENCY AGREEMENT. VIDEO CREATORS WILL RETAIN ALL RIGHTS TO EARNINGS GENERATED DIRECTLY BY THEIR OWN EFFORTS FOR THE VIDEO BY ANY THIRD PARTY. ANY OTHER EARNINGS GENERATED THROUGH A THIRD PARTY BY PLANET OTTAWA MARKETING THE VIDEO WILL BE RETAINED 100% BY PLANET OTTAWA. SEND YOUR RUMBLE OR YOUTUBE EMBED SNIPPET (IFRAME FORMAT), INCLUDING PLANET OTTAWA PAGE PREFERENCE, 10 KEYWORDS, TO PLANET OTTAWA VIA MESSENGER TO GET VERIFIED AND LISTED. You (the Video Creator) are encouraged to post independently on as many social media platforms as possible on a regular basis. In this instance, Marketing will be the sole responsibility of the Video Creator.
  • Basic Plan - One video is submitted to Planet Ottawa to market to a minimum of 10 platforms* accompanied by a single social media post. Includes one targeted placement to a single Planet Ottawa page. The video and or social media post will remain posted as long as the platforms* exist.
  • Platinum Plan - One video is submitted to Planet Ottawa to market to a minimum of 10 platforms* plus one additional social media post, to each social media platform listed, per week for six months. Includes one targeted placement to a single Planet Ottawa page. The video and or social media post will remain posted as long as the platforms* exist.
  • Emerald Plan - One video is submitted to Planet Ottawa to market to a minimum of 10 platforms* plus one additional social media post, to each social media platform listed, per week for one year. Includes one targeted placement to a single Planet Ottawa page. The video and or social media post will remain posted as long as the platforms* exist.
  • Gold Plan - One video is submitted to Planet Ottawa to market to a minimum of 10 platforms* plus one additional social media post, to each social media platform listed, per week for six months. Includes one targeted placement to a single Planet Ottawa page. The video and or social media post will remain posted as long as the platforms* exist.
  • Diamond Plan - One video is submitted to Planet Ottawa to market to a minimum of 10 platforms* plus one additional social media post, to each social media platform listed, per week for one year. Post-production items such as titles, cards, end screens, polls, and captions are included with this plan for platforms that have those features. (currently, Youtube and Facebook) Captions are limited to 30-minutes or less of video. An edited caption file is to be provided by Video Creator. Includes one targeted placement to a single Planet Ottawa page. The video and or social media post will remain posted as long as the platforms* exist.
  • Executive Plan - One video is submitted to Planet Ottawa market to a minimum of 10 platforms* plus one additional social media post, to each social media platform listed, per day for six months. Post-production items such as titles, cards, end screens, polls, and captions are included with this plan for platforms that have those features. (currently, Youtube and Facebook) Captions are limited to 60-minutes or less of video. An edited caption file is to be provided by Video Creator. Includes one targeted placement to Planet Ottawa's Home page for six months only. The video and or social media post will remain posted as the platforms* exist. The plan will also include a single lifetime posting to any one of Planet Ottawa's other pages.
  • Crown Executive Plan - One video is submitted to Planet Ottawa to market to a minimum of 10 platforms* plus one additional social media post, to each social media platform listed, per day for one year. Post-production items such as titles, cards, end screens, polls, and captions are included with this plan for platforms that have those features. (currently, Youtube and Facebook) Captions are limited to 120-minutes or less of video. An edited caption file is to be provided by the Video Creator. Includes one targeted placement to Planet Ottawa's Home page for twelve months only. The video and or social media post will remain posted as long as the platforms* exist. The plan will also include a single posting to one of Planet Ottawa's other pages. 

CONDITIONS

  • VIDEO CREATOR(s) HEREBY GRANT TO PLANET OTTAWA AN EXCLUSIVE IRREVOCABLE WORLDWIDE PERPETUAL AGENCY LICENSE TO MARKET THE VIDEO UNDER THE FOLLOWING CONDITIONS:
  • Video Creator(s) are assigning the exclusive rights management of the video and its content to Planet Ottawa. Planet Ottawa will be obligated to pay 25% of the Net Earnings collected from 3rd parties (sponsors) in relation to the video paid through a Planet Ottawa Marketing Plan with the exception of YouTube.com and Rumble.com. On YouTube.com, the Video Creator will retain 90% of all Net Earnings generated in relation to the video directly on YouTube.com including on the Rumble owned and operated YouTube channels.  On Rumble.com the video creator will retain 60% of all Net Earnings generated in relation to the video less a 40% Agency fee payable to Rumble. The Video Creator grants Planet Ottawa an exclusive, worldwide, commercial, sub-licensable and transferable license to use, reproduce, distribute, edit, syndicate, prepare derivative works of, display, and perform the Content in connection with the Service and Planet Ottawa's (and its successors', partners and affiliates) business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels. Planet Ottawa will have the right to download, upload and/or embed the video as required to fulfill the obligations of this Agreement.
  • The Video Creator(s) hereby irrevocably appoint Planet Ottawa as their attorney-in-fact to take any such action as may from time to time be necessary to effect, transfer or assign the rights granted to Planet Ottawa herein, including without limitation copyright-related actions, and hereby assign to Planet Ottawa the right to prosecute any and all claims from the past, present, and future use of the Videos by unauthorized third parties.
  • Planet Ottawa's Syndicated Platform Partners*: include but are not limited to PlanetOttawa.ca, Gregluchak.com, The Greg Luchak Show on Rumble, Planet Ottawa on Rumble, The Greg Luchak Show on Facebook (including Facebook Groups), The Greg Luchak Show on Instagram, The Greg Luchak Show on YouTube, The Greg Luchak Show on Twitter, The Greg Luchak Show on Pinterest, The Greg Luchak Show on Parler. The list includes posting to accounts existing on behalf of the Video Creator such as Rumble, Facebook, Instagram, YouTube, Twitter, Pinterest, and Parler. Other platforms to be added in the near future: TikTok, The ROKU Channel, Vimeo. Any platforms named herein are independent of this Agreement and are not expressly implied to be legal partners. All trademarks and copyrights of said platforms are the sole property of each platform. Names of platforms have been disclosed solely for the purpose of describing marketing initiatives to be undertaken with a proposed platform by the services that they offer. 
  • PlanetOttawa.ca placement includes a single choice of one of the following pages: Home Page, Home Page Background Image, People & Blogs, A specified Video Guide Channel, The Planet Ottawa Shopping Channel, including The Art Gallery, The Book Store, and The Variety Shop. More pages may become available in the future.
  • The Video is to be submitted for approval 15 days prior to the start of a marketing plan.
  • Video Creator(s) can use a personal Rumble, YouTube, or Facebook account to upload a video to facilitate the approval process and for Planet Ottawa to download a copy of the video for marketing purposes.
  • Video Creator(s) and or their Sponsor(s) are to submit ad copy for approval that is to be included in the text of any post accompanying the video for each platform.
  • Video Creator(s) are to submit 10 keywords that best describe the video content to target the desired market or niche. Words that can be used as tags for SEO (search engine optimization) and platform marketing.
  • Post-production editing for sound, video, and graphic design can be negotiated and purchased separately if the video creator needs assistance with video production.
  • Video Creator(s) own the copyright or has permission in writing for any image, video track, soundtrack, backing track, or sound effect(s) included in the video.
  • INDEMNIFICATION: Each party will agree to defend, hold harmless, and indemnify the other from any cost, loss, or damages of any type, including attorney fees, to the extent that they arise from the breach of the Agreement, and/or willful misconduct or negligence. Planet Ottawa and its parent company 1828218 Ontario Limited, RBI Enterprises, all their affiliates, employees, principles shareholders, directors, and all such persons and or business entities are to be held harmless by the Video Creator(s) and their sponsor(s) against any actions taken in reliance on any content provided for distribution herein for any direct, consequential, special, circumstantial or similar damages that may be seen or unforeseen as a result of the distribution of said content across the aforementioned Platform Partners*. The Sponsor(s) and the Video Creator(s) assume all responsibility for the use of the content and its subjective material.
  • Video Creator(s) is hereby granted permission to solicit independent sponsor(s) to cover the cost of a marketing plan. The Agreement will become a binding Exclusive Irrevocable Worldwide Perpetual Agency Agreement if a Marketing Plan is sold. If NO sponsor is solicited or sold a marketing plan then NO Planet Ottawa fee will be charged or required to post or embed the video for placement on PlanetOttawa.ca, Placement to another platform will be solely at the discretion of Planet Ottawa. In that instance, the Agreement will become a binding Non-Exclusive Irrevocable Worldwide Perpetual Agency Agreement. 100% of All fees earned through a third party by any marketing provided by Planet Ottawa will be retained by Planet Ottawa.
  • Video Creator is permitted to sell to an unlimited number of sponsors provided each sponsor is identified and provided a receipt for each individual video using the Planet Ottawa system. Sponsors may be combined in a single transaction for one video only per agreement.
  • This Agreement applies to one video only. Additional videos require a separate transaction for each. 

  • The Video Creator will be paid a 25% commission based on the fee paid by the sponsor to Planet Ottawa. Payout of the commission fee will be in accordance with Shopify's payout terms. Typically 5 to 10 business days following the transaction date. 

  • The Video Creator is obligated to use Planet Ottawa as the payment vendor on the transaction for this marketing agreement and a specific plan purchased. Proof of payment by the sponsor(s) is required to validate the specific plan.

  • Youtube requires full disclosure of any paid endorsements, product placements, or sponsorships. It is mandatory according to the terms of their agreement. Other platforms have similar rules. Any revenue stream created may become exempt and non-payable under their rules. 

  • Furthermore, if the video contains paid promotions like product placements, sponsorship, or endorsements placed by the Video Creator that are identifiable, said promotions must be disclosed as sponsors to Planet Ottawa. Said placements can not be the sole purpose of the video content and cannot exceed 10% of the overall length of the video production. 

  • Any video that is 100% created for the sole purpose of a commercial video advertisement on behalf of a sponsor is not permitted to use this marketing agreement. The Video Creator(s) and Sponsor are to use Planet Ottawa's Syndicated Commercial Video Advertising Agreement only. The Sponsor(s) may at their discretion hire and pay the Video Creator directly at their expense to create a commercial video.
  • The Video Creator(s) and Sponsor(s) agree that this Agreement and the Sponsorship plan are the cost to market the video on behalf of the Video Creator(s) and the Sponsor(s). The fee is a package deal and is non-refundable. 
  • All Sponsor(s) must be presented to Planet Ottawa and will be included on Planet Ottawa's Sponsors page including those that are embedded in the video content be identified and bound by the terms of this Agreement. Both parties agree that they have not signed or bound by any other Exclusive Marketing Agreement.
  • The placement of the video by Planet Ottawa binds the Video Creator(s) to the terms and conditions of this Agreement. A copy of this Agreement, identifying the video and Video Creator(s) will be printed in pdf and sent to the video creator.
  • The Video Creator(s) is an independent contractor and not an employee of Planet Ottawa.
  • No Assignment. Neither this Agreement nor any interest in this Agreement may be assigned by the Video Creator(s) without the prior expressed written approval of Planet Ottawa.
  • By making payment for this Agreement, the Video Creator and Sponsor(s) hereby agree to all the terms and conditions of this Agreement.  A copy of this agreement along with details of the video, length of the video, list of Sponsors, name of Video Creator(s), marketing plan selected, legal address for notices, and transaction payment receipt will be sent to the Video Creator(s) in pdf format.
  • NOTE: Social Media Platforms may change as the market demands. It is Planet Ottawa's goal to provide the most effective social media and platform marketing possible. As an example, TikTok, the ROKU Channel, and Vimeo may be integrated in the future to Planet Ottawa's overall marketing strategy.
